Market Vendor Agreement

This Sunday Market Vendor Agreement ("Agreement") is made and entered into as of by and between The Will, located at 5984 N. State Hwy 6, Waco, TX 76712 ("The Will"), and Vendor, ("Vendor").

WHEREAS, The Will desires to hold an Artisan Market (the "Market") to showcase unique products from local vendors; and

WHEREAS, Vendor desires to participate in the Market and sell its handcrafted or artisanal goods;

NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants hereinafter set forth, the parties agree as follows:

1. Market Participation:   

• The Will grants Vendor a non-exclusive right to participate in the Market on Sundays from 11 AM  – 3 PM (Summer Hours), or 1 PM - 5 PM (Winter Hours).  

• Vendor agrees to set up its booth within the designated space assigned by The Will and operate its business in a professional and orderly manner.

2. Vendor Space and Fees:

• The Will shall provide Vendor with a 10 ft. x 10 ft. space at the Market.

• Vendor shall pay a fee of $30 per Market Date to The Will. Payment is due before setting up booth.

  
  

3. Vendor Responsibilities:

• Vendor shall provide and maintain all necessary equipment for its booth operation, including tables, chairs, tents,

• displays, and extension cords (50 ft. suggested if electricity is needed).

• Vendor shall be responsible for obtaining all necessary licenses and permits for the sale of its products at the

• Market.

• Vendor shall comply with all applicable laws and regulations related to the sale of its products.

• Vendor shall keep its booth area clean and free of debris throughout the Market.

• Vendor shall not sell any products that are not approved by The Will.

  
  

4. The Will Responsibilities:

• The Will shall provide a safe and secure environment for the Market.

• The Will shall promote the Market to the public.

• The Will shall provide basic amenities such as restrooms and trash disposal.

5. Cancellation:

• The Will may cancel the Market due to unforeseen circumstances, inclement weather, or other reasons beyond its control. In such an event, The Will shall use its best efforts to notify Vendor in advance and shall issue a full refund of the Vendor Space Fee.

• Vendor may cancel its participation in the Market by notifying The Will in writing by the Friday before the Sunday Market.

  
  

6. Indemnification:

• Vendor agrees to indemnify and hold harmless The Will, its officers, directors, employees, and agents from and against any and all claims, losses, damages, liabilities, and expenses (including reasonable attorney fees) arising out of or related to Vendor's participation in the Market.   

7. Entire Agreement:

• This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.   

8. Governing Law:

• This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.

9. Severability:

• If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.   

10. Waiver:

• No waiver by either party of any breach of this Agreement shall be deemed a waiver of any subsequent breach.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written above.
